Summary

Before you read the full terms, here is a plain English overview of how the Flat Lay Creator Club works:

• You must be 18 or over, based in the United States, and have a public TikTok and/or Instagram account to join.

• As a Flat Lay Creator you get access to exclusive perks: the opportunity to be reposted on our brand social channels, chances to earn free products, sneak peeks on new drops, and regular rewards for our top creators.

• Your first bag is on us. Once approved, if you don't already own one of our bags, order any single product worth up to $45 and get a full refund once your first video has been live for 30 days. One per Creator, one time only.

• Your audience gets 15% off when they buy something within 30 days of clicking your personal affiliate link.

• A valid purchase is defined as an order placed by a first-time customer, that is not fraudulent, and that is not returned or cancelled within 30 days of the order date.

• Commission is calculated on the net order value, excluding shipping, shipping tax, and applicable sales tax. It is held for 30 days to account for returns. After 30 days it is approved and added to your balance.

• Minimum payout is $20. You get paid via PayPal or ACH bank transfer - make sure your payment details are set up in your dashboard before requesting a payout. We are not responsible for failed payments due to incorrect details.

• Any post where you intentionally mention our product in your video or caption must include either #ad or #CommissionsEarned in the first three lines of your caption, and a verbal or on-screen line early in the video such as 'I'm a Flat Lay Partner - use the link in my bio for 15% off.', and tag @flatlaylondon

• By posting content that features our products while you are an active member, you give us permission to repost and reshare that content on our channels and in paid advertising, in perpetuity, even after your membership ends.

• Do not share your affiliate link publicly on coupon sites, deal forums, or anywhere outside your own content. We actively monitor for this daily. If your link is found to have been shared publicly, your membership will be immediately revoked and all unpaid commission forfeited.

• Keep it real and on-brand. Show the product honestly, based on your genuine experience. Don't post anything offensive, illegal, or that could damage our brand. We may ask you to remove content that doesn't meet these standards - non-compliance within 48 hours may result in removal from the programme.

• We reserve the right to change any aspect of the programme, including commission rates, discount percentages, cycle structure, and programme mechanics, at any time. We will notify active Creators of significant changes via email.

• We can remove you from the programme immediately for fraud, discount link abuse, off-brand content, or breach of these terms.

Full Terms & Conditions

1. About the Programme

The Flat Lay Creator Club (the 'Programme') is an affiliate and content creator programme run by The Flat Lay Co. Ltd ('we', 'us', 'our'). By signing up to the Programme, you ('Creator', 'you') agree to these Terms & Conditions in full.

The Programme is open to individuals who are: (a) aged 18 or over; (b) currently based in the United States; (c) active on TikTok and/or Instagram with a public, publicly visible account; and (d) not currently employed by or affiliated with a direct competitor of The Flat Lay Co. We reserve the right to approve or decline any application at our sole discretion.

 

2. Affiliate Links
Upon approval, you will be issued: (a) a unique affiliate tracking link automatically giving your audience to 15% off their order at checkout.

Your affiliate link is personal to you and must not be shared publicly on coupon aggregator websites, deal forums, Reddit threads, or anywhere outside your own content. We actively monitor for public link sharing on a daily basis. If your link is found to have been shared publicly, your membership will be immediately revoked and all unpaid commission will be forfeited, regardless of whether the link was shared by you directly or by a third party using your link.

3. Commission

You will earn a commission of 15% on the net order value for each valid purchase placed by a new customer using your affiliate link. Commission is calculated on the net order value excluding shipping, shipping tax, and applicable sales tax. A valid purchase is defined as an order placed by a first-time customer, that is not fraudulent, and that is not returned or cancelled within 30 days of the order date.

Commission is held in a pending state for 30 days following the order date to account for returns and cancellations. After 30 days, pending commission is approved and added to your balance, provided the order has not been returned or cancelled. Commission on returned or cancelled orders will be denied.

The minimum payout threshold is $20. Payments are made via PayPal or ACH bank transfer. It is your responsibility to hold a valid account and to enter your correct payment details in your creator dashboard before requesting a payout. We are not responsible for any failed, delayed, or misdirected payments resulting from incorrect, outdated, or invalid payment details provided by you. If a payment fails, we will attempt to notify you but are not obligated to hold commission balances indefinitely - unpaid commission may be forfeited after 90 days of failed payment attempts.

Commission rates and programme terms are subject to change at our discretion. We will provide reasonable notice of any changes to commission rates.

4. Disclosure and Advertising Compliance

As a Flat Lay Creator, you earn commission on sales. Under Federal Trade Commission (FTC) Endorsement Guides, this constitutes a material connection that must be clearly disclosed whenever you intentionally mention our products in any content.

If the bag happens to be in the video through normal use and you do not mention it, no disclosure is needed. A comment reply in response to a question about the product is not an endorsement and does not require disclosure. However, the moment you intentionally mention, or demonstrate, disclosure is required.

When posting content that requires disclosure, you must:

• Include either #ad or #CommissionsEarned within the first three lines of your caption, not buried at the end of a list of hashtags;

• For video content, include a verbal or on-screen statement early in the video - for example: 'I'm a Flat Lay Creator, use the link in my bio for 15% off' is sufficient and serves as your disclosure;

• Include a disclosure on every individual piece of content independently - a previous post's disclosure does not carry over to new content;

• Not rely solely on a platform's built-in disclosure tool, though you are encouraged to use it in addition to your own.

You are solely responsible for ensuring your content complies with FTC guidelines and applicable platform policies. When in doubt, disclose. Failure to comply is a breach of these terms and may result in removal from the Programme.

5. Content Standards

We want you to create content that feels natural and genuinely reflects your experience with our products. We do not script your content or tell you what to say. However, by participating in the Flat Lay Creator Club you agree to the following standards:

• You must only post content based on your honest, genuine experience of using the product. You cannot make claims about the product you have not personally experienced, or that are false, misleading, or exaggerated;

• All content posted as part of the Programme must be on a public account and must remain publicly visible for a minimum of 30 days from the date of posting;

• You must tag @flatlayco and include #FlatLayLand and #FlatLayCreatorClub on every post featuring our products;

• You must not post content that is offensive, discriminatory, sexually explicit, or illegal;

• You must not post content that associates our brand with competitors or that we reasonably consider damaging to The Flat Lay Co.'s reputation;

• You must not make any medical, health, or scientific claims about our products.

If we consider any content to be off-brand, inaccurate, or damaging, we reserve the right to request its removal within 48 hours. Failure to comply with a removal request may result in immediate removal from the programme and forfeiture of any unpaid commissions.

6. Content Rights

By posting content that features Flat Lay Co. products while you are an active member of the Programme, whether or not you have tagged us or referenced our brand, you grant The Flat Lay Co. Ltd a non-exclusive, royalty-free, worldwide licence to repost or reshare your content on our own social media channels, use your content in paid advertising campaigns across any platform, and include your content in brand presentations, retailer decks, and other commercial materials. This licence is perpetual and continues after your membership ends.

You confirm that any content you post is your original work, that you own all rights to it, and that it does not infringe the intellectual property rights of any third party.

Being featured on our brand channels is one of the perks of being a Flat Lay Creator. We regularly reshare content from our creator community and actively look for standout posts to feature.

7. First Bag Refund

Approved Creators who do not already own a Flat Lay Co. product are eligible for a one-time full refund on a single product purchase of up to $45 (the 'First Bag Refund'). This includes bundles priced at $45 or under. The First Bag Refund is available once per Creator and cannot be combined with any other offer or discount.

To be eligible for the First Bag Refund, you must:

• Be an approved and active member of the Flat Lay Creator Club at the time of order

• Purchase one eligible product from our website at full or discounted price, up to a maximum order value of $45;

• Post your first piece of content featuring the product on a public TikTok and/or Instagram account, in compliance with the content and disclosure requirements in Sections 5 and 6;

• Keep that content publicly live and visible for a minimum of 30 days from the date of posting;

• Submit your refund claim via the dedicated First Bag Refund form, providing: (a) a link to the qualifying video; (b) your order number; and (c) the email address used at checkout.

Refunds will be processed within 14 days of the 30-day video live period being confirmed. Refunds are issued to the original payment method where possible, or via PayPal at our discretion.

We reserve the right to decline a First Bag Refund claim if: (a) the content has been deleted or made private before the 30-day period has elapsed; (b) the content does not comply with our disclosure or content standards; (c) the order value exceeds $45; or (d) a First Bag Refund has previously been claimed by the same Creator.

8. Programme Changes and Termination

We reserve the right to change any aspect of these terms, including commission rates, discount percentages, cycle structure, and programme mechanics, at any time and at our sole discretion.

We reserve the right to amend, pause, or terminate the Flat Lay Creator Club at any time and for any reason, including changes to our strategy, technology platform, or business direction.

Where we make material changes to these terms, we will provide reasonable notice to active Creators via email. Your continued participation in the Programme following notification of changes constitutes acceptance of the revised terms.

If we terminate the Programme entirely, we will pay out any approved commissions above the minimum payout threshold within 60 days of termination.

9. Removal from the Programme

We reserve the right to remove you from the Programme immediately, without notice, in the event of: (a) fraud or attempted fraud; (b) misuse or public sharing of your affiliate link; (c) breach of any of these terms; (d) posting content we reasonably consider off-brand or damaging to The Flat Lay Co.; or (e) any conduct we consider harmful to our brand or community.

Upon removal, your affiliate link will be deactivated immediately. Any unpaid commissions below the minimum payout threshold will be forfeited. Approved commissions above the minimum payout threshold will be paid out within 60 days.

10. Tax and Legal Responsibility

You are responsible for declaring and paying any and all taxes arising from commission earned through the Programme, including federal, state, and local income tax and self-employment tax. Participation in the Programme does not create an employment relationship between you and The Flat Lay Co. Ltd. You are an independent contractor. We make no representations regarding the tax treatment of commission payments and recommend you consult a tax advisor if you are unsure of your obligations.

US Creators earning $600 or more in a calendar year may receive a 1099-NEC form for tax purposes.

11. Limitation of Liability

To the maximum extent permitted by law, The Flat Lay Co. Ltd shall not be liable for any indirect, incidental, or consequential loss arising from your participation in the Programme, including loss of anticipated earnings.

12. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
